People are CPV’s greatest strength and most important assets. CPV’s management team has an extensive track record of proven success in a broad range of market activities and conditions. The executive management team of Doug Egan, Gary Lambert and John Foster, who all first worked together at the J Makowski Company in the early 1990s, have each played key leadership roles in the growth and prominence of the private power generation industry in North American and abroad. They lead a blue chip team of power generation specialists that head up CPV’s business lines: Peter Podurgiel – Fossil Power Development; Sean Finnerty – Wind Power Development; Dave Magill – Asset Management; Paul Buckovich – Finance and Acquisitions and Sherman Knight – Marketing and Trading. This stellar management team is highly motivated and incentivised through equity ownership in the Company.

CPV’s senior management team has played leading roles in over $15 billion of project finance and merger and acquisition transactions relating to power generation assets. That represents more than 20,000 megawatts of power plants developed, acquired, financed or sold that are in operation today, enough to power 13 million homes. CPV currently manages over 5,500 megawatts of operational power generation on behalf of owners with extensive financial resources. CPV’s professionals bring to bear their years of experience in managing contracted and merchant operating power plants and portfolios of power plants.

Financial Muscle

As the power generation business in North America has matured, successful development of new projects requires increasingly large financial resources. From site costs, to bid bonds, to equipment procurement and permitting, the cost of marshalling a large scale development program is no longer within the range of small development companies. Through its relationships with premier private equity providers, like Warburg Pincus, CPV has arranged the financial backing to be a major player in the current fossil and wind power generation development cycle. CPV also has deep experience working with major power generation lending institutions in the project finance arena and with a broad array of large private equity and hedge funds active in asset management and the acquisition/disposition of power generation assets.

In September 2006, CPV entered into a $200 million funding agreement with Warburg Pincus to back its fossil development program. This funding is earmarked for development of more than 6,000 MWs across select markets in North America. Long term equity and debt capital will be raised for the construction and operation of these assets. Since 2005, CPV has been developing wind projects to meet the growing demand for renewable energy.

Key Relationships

Since its inception, CPV has carefully cultivated relationships with the key players in the power generation infrastructure business. These companies span from the top equipment manufactures and contractors, to major financial institutions (including investment banks, commercial banks, private equity and hedge funds), to major environmental and engineering service providers.

CPV today has an active power project development program and an extensive asset management business. In all that we do, CPV recognizes the need for balance among the competing demands of various interests: economic, regulatory and those related to social responsibility. The experience and resourcefulness of our people enable CPV to manage those interests successfully.

CPV’s power plant development program encompasses both large-scale renewable projects, particularly wind power projects, and clean, high efficiency natural gas fired projects. The senior management of CPV have led the development of more than 15 projects representing over 8,000 megawatts in operation today. In 2005 we teamed with a financial partner to form CPV Wind Ventures, LLC which developed a portfolio of over 3500 MWs of wind power projects. It was ultimately sold to a large capacity company. We continue our activities in developing renewable energy resources through our subsidiary CPV Renewable Energy Company. In addition, as load growth overtakes supply in certain regions of the country, CPV has initiated an aggressive new program to develop larger, high efficiency and environmentally sensitive natural gas fired generation projects primarily fueled by clean natural gas. While many parts of the country still have sufficient capacity, with ever-growing demand and a three to five year lead time required to develop and construct new power plants, a new wave of development is pending and CPV will play a significant part.
